Investments Attorney - Silicon Valley Bank

SVB is currently seeking candidates for the position of Counsel to join our Legal Team. The attorney will support primarily our equity, debt and other strategic investments. This will include working with our Venture Capital Fund Division, SVB Capital. The attorney will focus primarily on investments work, but will also support, to a lesser extent, SVB’s general public company work, including SEC filings and corporate governance matters.

You have experience working with high-growth venture-backed companies, including venture capital financings. Experience with strategic partnerships, venture capital fund formation, SEC regulations and a familiarity with federal banking regulations is a plus.

You work effectively, both independently and as part of a broader cross-functional team, in a fast-paced, changing environment.


  • Driving the negotiation and drafting of investment documents in the US and abroad, including investments in companies and in venture capital funds

  • Assisting with VC fund formation

  • Managing the drafting and negotiation of legal documents and due diligence for investments and strategic transactions

  • Supporting new product development and implementation, including drafting and negotiating agreements for strategic partnerships

  • Supporting the legal aspects of investor relations including transfers of LP interests, side letter compliance and other VC fund management matters

  • Managing the governance aspects of our funds business

  • Support general public company work, including SEC filings and corporate governance matters

  • Analyzing and summarizing legal documents and drafting memos

  • Actively collaborating with business partners across the enterprise, including compliance, finance, risk, and other key partners

  • Supporting other projects to support the legal department as necessary


  • 3-6+ years’ experience (in-house or with a law firm), with a minimum of 2 years law firm experience

  • Practical, business savvy, solutions-oriented approach

  • Excellent judgment skills, self-starter, collaborative and knows when to seek advice from others

  • Strong written and oral communication skills

  • Strong attention to detail, organized and able to effectively prioritize multiple projects under deadline pressures

  • Intellectual curiosity / ability to learn new legal subject matter areas as needed

  • Ability to interact with regulators

  • Ability to seek creative, innovative solutions for complex business matters

  • Ability and desire to build relationships with others and a sense of humor

  • Licensed to practice law in the United States

  • J.D. from a top tier school and excellent academic credentials
